Terms of Service

These Terms of Service ("Terms") govern your access to and use of fooai.io (the "Site"), operated by FooAI ("FooAI," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Acceptance of Terms

By visiting the Site or sending us an email through any address listed on the Site, you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy. If you are agreeing on behalf of an organisation, you represent that you have authority to bind it.

You must be at least 14 years of age to use the Site. If you are under the age of majority in your jurisdiction, you may use the Site only with the involvement of a parent or legal guardian.

2. About This Site

The Site is FooAI's corporate and careers presence. It exists to:

  • Introduce the company and our work
  • Link to our product sites
  • Invite prospective candidates, partners, and collaborators to contact us

The Site itself does not offer accounts, transactions, payments, downloads, or user-generated services. Our individual products (including Egglink, FadeTalk, Noteline, LingoFive, RecordPort, and any future brands) operate on their own domains and are governed by separate terms and privacy policies. These Terms do not apply to those products; please review each product's own terms before using it.

3. Permitted Use

You may access and view the Site for lawful, personal, and informational purposes. You agree not to:

  • Use the Site in violation of any applicable law or regulation
  • Attempt to gain unauthorised access to the Site, its servers, or any related infrastructure
  • Probe, scan, or test the vulnerability of the Site without our prior written consent
  • Use automated means (scrapers, bots, crawlers) to collect content from the Site at a rate or volume that interferes with normal operation, except for well-behaved indexing by public search engines
  • Reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content on the Site without our prior written consent, except as permitted by law (e.g., quotation for news reporting or commentary)
  • Use the Site to transmit malware, spam, harassing content, or anything unlawful
  • Misrepresent your identity or affiliation in any communication sent through the Site

We reserve the right to investigate and take appropriate action — including blocking access, removing content, and cooperating with law enforcement — against any conduct that we, in our reasonable judgment, believe violates these Terms or applicable law.

4. Intellectual Property

4.1 Our content

All content on the Site — including text, graphics, logos, icons, images, layout, design, source code, and the "FooAI" name and marks — is owned by FooAI or its licensors and is protected by Korean and international copyright, trademark, and other intellectual-property laws.

Except for the limited right to view the Site granted in Section 3, no licence or right is granted to you by implication, estoppel, or otherwise. All rights not expressly granted are reserved.

4.2 Trademarks

"FooAI," the FooAI wordmark and logo, and the names of our products are trademarks of FooAI. Other names and logos appearing on the Site may be the trademarks of their respective owners. Nothing on the Site grants you any licence to use any trademark without the prior written permission of its owner.

4.3 Feedback

If you send us suggestions, ideas, or feedback about FooAI or its products, we may use them without restriction or compensation. You confirm you have the right to share such feedback and that doing so does not violate any third-party rights.

5. User Content (Email)

When you send us information by email — including messages, attachments, resumes, and portfolios — you ("User Content"):

  • Retain ownership of your User Content
  • Grant FooAI a non-exclusive, worldwide, royalty-free licence to receive, store, review, and respond to it for the purpose for which you sent it (responding to your inquiry, evaluating your candidacy, and related internal use)
  • Represent that the User Content is accurate, lawful, and does not infringe the rights of any third party, and that you have authority to share it
  • Acknowledge that we may delete User Content in accordance with our retention schedule (see the Privacy Policy)

Do not send confidential, sensitive, or proprietary information you do not wish to disclose. Communications by email are not encrypted end-to-end and may be intercepted in transit despite our security measures.

6. Disclaimers

The Site is provided "as is" and "as available." To the maximum extent permitted by applicable law, FooAI disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, uninterrupted operation, and freedom from error or harmful code.

Specifically:

  • We do not warrant that the Site will be available without interruption, free of defects, or secure against unauthorised access.
  • Content on the Site is provided for general information only. It is not legal, financial, tax, investment, employment, or professional advice, and should not be relied on as such.
  • Information about our products on this Site is descriptive and subject to change. The binding terms for any product are those published on that product's own site.

Nothing in this Section excludes or limits any warranty or right that cannot be excluded or limited under applicable law (including, where applicable, the Korean Act on the Regulation of Terms and Conditions).

7. Limitation of Liability

To the maximum extent permitted by applicable law, FooAI and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your access to or use of the Site, even if FooAI has been advised of the possibility of such damages.

To the extent that FooAI is found liable for any direct damages, its aggregate liability arising out of or relating to these Terms or the Site shall not exceed fifty thousand Korean Won (KRW 50,000) or the equivalent in your local currency. This cap reflects the free, informational nature of the Site, which involves no payment or contractual service.

Nothing in this Section limits liability that cannot be limited under applicable law, including liability for wilful misconduct, gross negligence, death, or personal injury caused by our negligence, or any other liability that cannot be excluded as a matter of mandatory law (including under the Korean Act on the Regulation of Terms and Conditions, the GDPR, and consumer-protection statutes in your jurisdiction).

8. Indemnification

You agree to defend, indemnify, and hold harmless FooAI and its directors, officers, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your violation of any law or third-party right; or (c) any unlawful or infringing User Content you submit. We will provide reasonable notice of any claim and may participate in the defence at our own expense.

This Section does not apply where your conduct was undertaken in good faith and without fault, nor to the extent prohibited by applicable law.

9. Termination

We may suspend or terminate your access to the Site at any time, without notice, if we reasonably believe you have violated these Terms or applicable law, or if necessary to protect the Site, other users, or third parties.

You may stop using the Site at any time. Sections that by their nature should survive termination — including Sections 4 (Intellectual Property), 5 (regarding User Content already submitted), 6 (Disclaimers), 7 (Limitation of Liability), 8 (Indemnification), 10 (Governing Law), and 13 (Contact) — will survive.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site shall be submitted to the exclusive jurisdiction of the Seoul Central District Court as the court of first instance, except that:

  • If you are a consumer resident in a jurisdiction whose mandatory laws grant you the right to bring proceedings in your local court, that right is preserved.
  • We may seek injunctive or equitable relief in any court of competent jurisdiction to protect our intellectual property.

11. Changes to These Terms

We may update these Terms from time to time. When we do:

  • The Last Updated date at the top of this page will change.
  • For material changes, we will post a notice on the Site at least 7 days before the changes take effect, or 30 days before if the change is materially adverse to users.
  • Your continued use of the Site after the effective date constitutes acceptance of the revised Terms. If you do not agree, please stop using the Site.

12. Severability and General

  • Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force, and the invalid provision will be replaced with one that most closely reflects the original intent and is enforceable.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
  • Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and FooAI regarding the Site and supersede any prior agreement on the same subject.
  • Language. These Terms are written in English. Any translation is provided for convenience; in case of conflict, the English version controls except where mandatory law requires otherwise.
